Refine the Call-Off Terms and Conditions

For this Framework there are two sets of Call-off Terms and Conditions, Call-Off Terms and Conditions A and Call-Off Terms and Conditions B.

Both Call-off Terms and Conditions were agreed with Providers when setting up the National LGPS Framework for Integrated Service Provider and Member Data Services Framework. Areas highlighted in yellow along with drafting notes within each document will need to be reviewed and completed by you.

Call-Off Terms and Conditions A - Lot 1

Call-Off Terms and Conditions A must be used when calling-off from Lot 1. There are a number of schedules included in Call-Off Terms and Conditions A that you need to review/complete to support your call-off:

  • Call-off Schedule A - Specification, Customer Requirements, Customer System, Milestones and Acceptance Procedure
  • Call-off Schedule B - Support Services, Service Levels and Service Credits
  • Call-off Schedule C - Charges
  • Call-off Schedule D - Outline Implementation Plan/ Implementation Plan
  • Call-off Schedule E - Not Used
  • Call-off Schedule F - Exit Management
  • Call-off Schedule G - Security (Annex 1 to be completed by the Customer)
  • Call-off Schedule H - Business Continuity and Disaster Recovery

Associated Document - Order Form A

When calling off from Lot 1, you must complete Order Form A alongside Call-Off Terms and Conditions A to reflect your specific requirements. A draft of both the Order Form and updated Call-Off Terms and Conditions must be shared with Providers as part of your Invitation to Further Competition or Direct Award.

Call-Off Terms and Conditions B - Lots 2 to 7

Call-Off Terms and Conditions B must be used when calling-off from Lot 2-7.

  • There are no additional schedules to complete.
  • Your updated Call-Off Terms and Conditions must be issued to Providers with your Invitation to Further Competition, or as part of your Direct Award.

Priority Areas for Review

The areas which you need to review as a priority are:

  • Data Protection
  • Intellectual Property Rights
  • Liability Caps
  • Sub-contracting and Sub-processing Arrangements

Additional Variations

  • You must outline any additional variations to the agreed Call-Off Terms and Conditions. These may include refinements to address specific circumstances that could not be anticipated when the Framework was established, subject to procurement law constraints.
  • Consider whether alternative clauses are needed to reflect the legal requirements of Scottish or Northern Irish jurisdictions. You should also ensure that insurance and liability levels are appropriate for your local needs.

Price Increases

The Ceiling Prices remain fixed for the duration of the Framework. However, you have the option to set out in the Call-off Terms and Conditions if you wish the contract price to be fixed for the duration of the contract or if you wish to offer a review date.
